By accessing or using our website and services, you (“Client”, “User”, or “you”) agree to comply with and be bound by the following Terms & Conditions. Please read these terms carefully before engaging with Zeespark or any of its offerings.
1. Scope of Services
- Zeespark provides digital marketing, PR, app promotion, consulting, social media management, and related services as described on our website or in written proposals/agreements.
- Specific service deliverables, timelines, and fees will be outlined in the project proposal, service order, or client agreement.
2. Eligibility & User Responsibilities
- By using our website or services, you represent that you are at least 18 years of age and have legal authority to enter into binding agreements.
- You agree to provide accurate, complete, and current information and not use Zeespark for any unlawful or prohibited activities.
3. Payment Terms
- Advance Payment: Unless otherwise stated in the service agreement, all projects and campaigns require an advance payment of at least 50% of the total fee before commencement of work.
- The remaining balance is due as per the milestones, delivery schedule, or before final delivery as specified in the proposal or invoice.
- All payments must be made to the official Zeespark Consultancy Services Private Limited bank account or as specified in the invoice. Delays in payment may result in service suspension or penalties.
- Refund Policy: All advance payments are non-refundable once project work or campaign setup has begun. Partial refunds may be considered only in exceptional cases, subject to management’s discretion.
- Taxes, if applicable (including GST), are payable by the client in addition to quoted fees.
4. Client Obligations & Cooperation
- You agree to provide timely access to information, assets, content, and feedback necessary for Zeespark to deliver services.
- Any delays on your part may affect timelines, deliverables, and may incur additional charges.
5. Intellectual Property
- All intellectual property rights in materials, designs, content, code, and deliverables created by Zeespark remain the property of Zeespark unless expressly transferred in writing after full and final payment.
- You agree not to reproduce, distribute, or exploit Zeespark’s content, branding, or materials without our written consent.
- Client-supplied content, logos, and marks remain the client’s property. You represent you have rights to use all content supplied to Zeespark.
6. Confidentiality
- Both parties agree to keep confidential all proprietary or sensitive information shared during the course of engagement, except as required by law.
- Zeespark may use aggregated, non-identifiable project data for marketing or case study purposes.
7. Limitation of Liability
- Zeespark’s total liability for any claim relating to its services is limited to the amount paid by the client for the relevant services.
- Zeespark is not liable for indirect, incidental, consequential, or punitive damages, loss of profits, data, or business interruption.
- Zeespark disclaims responsibility for third-party actions, website downtime, or unforeseen technical issues beyond reasonable control.
8. Use of Website
- You may not misuse Zeespark’s website, attempt unauthorized access, or introduce harmful code.
- Website content is for informational purposes only and does not constitute binding service offers unless confirmed by signed agreement.
9. Changes to Terms & Conditions
- Zeespark may update these terms at any time. Updated terms will be posted on this page with a new effective date.
- Your continued use of Zeespark’s website or services after changes are published constitutes acceptance of the revised terms.
10. Governing Law & Dispute Resolution
- These terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of Noida, Uttar Pradesh, India.
- Parties agree to first attempt amicable resolution before pursuing legal action.
